As a Legal Compliance Officer - Wind SPV Manager, you ensure the effective implementation and monitoring of the Ethics & Compliance policy within Luminus, manage acquisitions and corporate transactions related to wind farms and maintain strong relationships with key stakeholders to facilitate smooth operations and efficient information exchange.

 

 

What you’ll do as Ethics & Compliance Officer

 

  • You define and monitor the implementation of the Ethics & Compliance policy within Luminus, ensuring alignment with EDF Group procedures and making necessary updates.
  • You collaborate with various entities within the Luminus Group to effectively implement the Ethics & Compliance policy.
  • You draft and oversee the Ethics & Compliance Roadmap, ensuring adequate training and awareness actions are in place.
  • You ensure appropriate measures are taken to prevent, detect, and resolve ethical and compliance incidents as needed.
  • You regularly report on Ethics & Compliance topics to senior management and maintain ongoing communication with the Ethics & Compliance Division of the EDF Group.

 

 

What you’ll do as Wind SPV Manager

 

  • You coordinate the organization and preparation of the Board of Directors and General Meetings for the Wind subsidiaries.
  • You manage acquisitions and corporate transactions related to our wind farms.
  • You maintain close ties with key stakeholders, including internal support services, directors of the wind subsidiaries, and representatives of our partners.
  • You establish and document processes to ensure smooth operations.
  • You facilitate efficient information exchange between involved stakeholders.
  • You assist with corporate transactions and corporate housekeeping of the wind subsidiaries in collaboration with our paralegals.

 

What you’ll do in addition

 

 You will provide general legal support, primarily in the context of corporate housekeeping and M&A transactions:

  • You draft and negotiate various contracts, such as shareholder agreements, in collaboration with internal and external experts.
  • You follow up on and integrate acquisitions.
  • You monitor paralegals in corporate housekeeping.

 

What you bring

 

  • You hold a Master's degree in law.
  • You have at least 5 years of professional experience in a law firm or as a legal advisor in an in-house legal department.
  • You have a strong interest in compliance, corporate law and basic finance concepts.
  • You have experience in managing small projects, including creating planning, monitoring actions and stakeholder management.
  • You possess strong communication skills and excel at making complex legal concepts understandable for a non-legal audience.
  • You are native in either Dutch or French, have full professional proficiency in English and possess minimum professional proficiency in the other language (French/Dutch).
